Closing a Dubai company: a practical document plan.
Understand why an expired licence is different from formally closing a business and clearing its linked obligations.

Identify the entity and jurisdiction
Mainland, free-zone and different legal forms can follow different closure procedures. Begin with the licence, ownership records and any relevant authority instructions. The process for a sole establishment should not be assumed to match a company requiring a formal liquidator.
Review liabilities and linked files
Employment, immigration, tenancy, banking, creditors and tax registrations may require separate attention. A licence expiry does not necessarily close those obligations. Build a checklist with the responsible professional so that one cancelled record does not leave another active.
Prepare the corporate approvals
Shareholder decisions, liquidator documents and notices may be required depending on the entity. Confirm signing powers and the current authority procedure. A statutory notice period can affect timing, so do not promise an immediate closure before reviewing the legal form.
Keep evidence of final completion
Retain cancellation certificates, clearances and final records from each relevant authority. Check whether continuing reporting or retention duties apply after the licence is closed. Ask a qualified accountant or legal adviser about unresolved debts, tax and shareholder responsibilities before distributing remaining funds.

Common questions.
Does an expired licence mean the company is closed?
No. Formal cancellation and linked obligations should be checked separately.
Does every company need the same liquidator process?
No. Legal form and jurisdiction determine the requirements.
Can I distribute funds before clearing debts?
Obtain suitable legal and accounting advice before making distributions or assuming liabilities have ended.
